智通财经APP讯，中国白银集团(00815)公布，于2025年1月20日，公司(作为发行人)、Journey Grace(作为认购人)、上海鸥亘(作为贷款人)及江西龙天勇(作为借款人)订立Journey Grace 认购协议，据此，公司已有条件同意向 Journey Grace配发及发行约1.295亿股新股份(即Journey Grace认购股份)，认购价为每股认购股份0.252港元，须以抵销公司的间接全资附属公司江西龙天勇截至 Journey Grace认购完成日期应付上海鸥亘的上海鸥亘贷款项下的尚未偿还本金额及应计利息(即上海鸥亘贷款资本化)的方式偿付。
同日，公司(作为发行人)、金链(作为认购人)、上海启贸(作为贷款人)及江西龙天勇(作为借款人)订立金链认购协议，据此，金链已有条件同意认购，而该公司已有条件同意向金链配发及发行约2.585亿股新股份(即金链认购股份)，认购价为每股认购股份0.252港元，须以抵销公司的间接全资附属公司江西龙天勇截至金链认购完成日期应付上海启贸的上海启贸贷款项下的尚未偿还本金额及应计利息(即上海启贸贷款资本化)的方式偿付。
于Journey Grace认购协议日期，上海鸥亘贷款项下的尚未偿还本金额及应计利息为人民币30,223,416.44元(相等于约32,638,267.41港元)。于Journey Grace认购完成后，上海鸥亘贷款项下的尚未偿还本金额及应计利息应被视为已获偿还。
于金链认购协议日期，上海启贸贷款项下的尚未偿还本金额及应计利息为人民币 60,328,767.12元(相等于约65,149,035.62港元)。于金链认购完成后，上海启贸贷款项下的尚未偿还本金额及应计利息应被视为已获偿还。
