智通财经APP讯，中国神华(601088.SH)公告，公司拟与国家能源集团公司签署《股权转让协议》，约定以经备案的杭锦能源截至评估基准日(即2024年8月31日)的股东全部权益评估值为基础，国家能源集团公司将所持有的杭锦能源100%股权转让给公司，转让对价为人民币8.53亿元，公司将以自有资金支付。
公司为国家能源集团公司下属煤炭业务整合平台，公司与国家能源集团公司签署的《避免同业竞争协议》及其补充协议约定的若干同业竞争资产包括本次交易标的，本次交易系落实协议约定，进一步推动减少同业竞争。本次交易完成后，中国标准下公司煤炭保有资源量将增加38.41亿吨(评估利用口径)、可采储量将增加20.87亿吨(评估利用口径)，分别占2024年6月末公司保有资源量和可采储量的11.40%和13.59%。公司将增加1,000万吨在建煤矿、1,570万吨在产煤矿及2×600MW煤电发电机组，从而增加公司蒙西上游煤炭资源的未来供应、保障一体化产业链高位运行，提高公司在蒙东地区的能源保供能力和协同运营水平，从而巩固公司一体化核心竞争力和长期盈利能力。
