粤运交通以2510万元出售珠海拱运100%股权
财中社1月23日电粤运交通（03399）发布公告，2025年1月22日，公司与岐关签署了产权交易合同，岐关有条件同意收购公司持有的珠海拱运100%股权，交易价格为2510万元。此交易构成公司的一项关联交易，因最高适用百分比率超过0.1%但少于5%，因此需遵守相关的申报及公告规定，但获豁免遵守独立股东批准的要求。
截至2024年6月30日，珠海拱运的所有者权益账面值为1376万元，评估值为2510万元，增值率为82.32%。评估增值的原因主要是长期股权投资的评估增值、无形资产及固定资产的增值。公司预计出售事项将确认收益约为3839万元，出售所得将用于补充公司运营资金。
由于近年来高铁网络快速发展及网约车普及，传统道路客运面临巨大挑战，珠海拱运的客源和营收出现断崖式下降，因此出售该股权有助于减少公司的亏损并提升整体盈利水平。董事会认为此次交易条款公平合理，符合公司及其股东的整体利益。
