东亚银行与三井住友银行签订贷款框架协议
财中社1月23日电东亚银行（00023）发布公告，东亚银行与三井住友银行于2025年1月23日订立框架协议，依据该协议，东亚银行集团与三井住友集团可根据框架协议进行贷款交易。由于三井住友银行是东亚银行的主要股东，因此此次交易构成了持续关联交易。公告中提到，框架协议的一项或多项适用百分比率超过5%，因此需要遵守《上市规则》第14A章的申报、年度审核和独立股东批准规定。
根据公告，框架协议的有效期为2025年5月9日至2028年5月8日。在协议有效期内，东亚银行集团及三井住友集团可在任何时间按合同方共同协定的条款及条件订立贷款交易，每项贷款交易须全面遵守框架协议的条款及条件。
2025年5月9日至12月31日期间，交易额上限为50亿港元；2026年及2027年交易额上限同样为50亿港元；2028年1月1日至5月8日期间，交易额上限为20亿港元。
此外，东亚银行将于2025年股东周年大会上寻求独立股东对框架协议、持续关联交易及年度上限的批准。
