Amcor, Berry Global File US SEC Joint Proxy Statement for Proposed Merger

Amcor (ASX:AMC) and Berry Global Group filed a definitive joint proxy statement with the US Securities and Exchange Commission (SEC), marking a milestone towards the completion of the proposed acquisition of Berry by Amcor via an all-stock deal, the companies said in a joint statement Thursday.

The joint proxy statement includes important information relevant to the proposed deal, including information about the shareholder meetings, instructions on voting, and governance matters related to the combined company following the completion of the deal, the companies said.

It also statement includes notices of shareholder meetings of Amcor and Berry, which will both occur on Feb. 25.

The firms recommended that shareholders approve the issue of shares for the dual-listed Amcor to acquire Berry, according to an earlier filing.

The deal is expected to be completed by mid-2025.
