智通财经APP讯，H&H国际控股(01112)发布公告，提交要约于2025年1月21日下午4时正(伦敦时间)届满。公司谨此宣布：
1.提交要约须待(其中包括)新发行条件等若干条件达成或获豁免后，方告完成。新发行条件已告达成;
2.公司将接纳购买所有根据提交要约有效提交的2026年票据且不会设定最高接纳金额;
3.公司将予发行的新票据本金总额为3亿美元;
4.合资格持有人已有效提交并获公司接纳购买的2026年票据本金总额为2.75亿美元;
5.预期提交要约交割日将大约于2025年1月24日(公司支付购买价及作出应计利息付款之日)，其后公司根据提交要约接纳购买的所有有效提交的该等票据将予注销;
6.于交割日，公司将向获接纳购买其2026年票据的合资格持有人支付购买价：2026年票据每1000美元本金额按购买价1098美元购买;
7.于交割日，公司亦将就其根据提交要约接纳购买的所有有效提交的该等票据按289.06万美元支付于2024年12月26日(最后一个付息日)(包括该日)起至交割日(不包括该日)止的应计利息付款;及;
8.提交要约交割后，2026年票据本金总额2470.5万美元将仍未偿还。
