中国铸晨81(00810.HK) 公布，于2023年5月10日及15日，公司透过公开市场出售植华集团(01842.HK) 共4,110.8万股上市股份，总代价约3,918万元。植华集团股份出售事项之总代价于清偿时以现金全数收取。集团已因出售事项实现溢利净额约2,693万元。
根据上市规则第十四章，公司应就植华集团股份出售事项尽快刊发公布及寻求股东同意。然而公司未有遵守上市规则。为防止类似事件再次发生，公司已采取或将采取补救行动，包括提醒管理层及业务团队，在进行可能构成潜在须予公布交易之所有交易前，须向董事会报告交易；就文件记录及审核购买及出售交易实施额外内部监控；公司将密切监察有关潜在须予公布交易之适用比率；公司将不时向负责同事提供有关根据最新上市规则计算规模测试之培训；及于进行任何建议交易或事项前咨询专业顾问。(sl/da)(港股报价延迟最少十五分钟。)
