中国神华拟收购杭锦能源100%股权 交易对价8.53亿元
财中社1月22日电 中国神华（601088/01088）发布公告，2025年1月21日，公司董事会审议并批准收购国家能源集团公司持有的杭锦能源100%股权的事宜，收购对价为8.53亿元。此次收购将使杭锦能源成为公司的全资附属公司，并纳入合并报表范围。根据公告，国家能源集团公司为公司的控股股东，因此本次收购构成关联交易，适用的百分比率有一项或以上超过0.1%，但全部低于5%，因此该交易需遵守香港上市规则的申报及公告规定，但获得豁免独立股东批准的规定。
公告中还提到，国家能源集团公司将授予公司收购选择权以收购呼斯梁井田、敏东二井、敏东后备井及敏东外围井。国家能源公司承诺，杭锦能源2024年9-12月及2025年-2029年度按企业会计准则经审计的扣非归母净利润累计不低于3.83亿元，若杭锦能源承诺期内累计实现净利润未达到累计承诺净利润，国家能源集团公司将以现金方式向公司进行补偿。
2024年前三季度，中国神华实现收入2538.99亿元，归母净利润460.74亿元。
