智通财经APP讯，中银香港(02388)公布，2025 年 1 月 24 日，公司的全资附属中银香港拟向中银国际亚洲收购中银国际私行的全部已发行股份，对价为 19.14 亿元人民币;中银香港拟向中银国际亚洲出售宝生证券的全部已发行股份，对价为 4.10 亿元人民币。收购协议及出售协议经过深圳产权交易所分开独立的公开挂牌程序订立。
据悉，中银国际私行是一家根据香港《银行业条例》认可的有限制牌照银行，主要在香港提供银行、融资及其他相关的服务。中银国际私行是中银国际亚洲的全资附属公司。于本公告日期，其已发行股本为 10 亿港元。
宝生证券于 1993 年在香港成立，是中银香港的全资附属公司。于本公告日期，其已发行股本为 3.35 亿港元。宝生证券是《证券及期货条例》下的持牌法团，可从事第 1 类(证券交易)和第 4 类(就证券提供意见)受规管活动，且其主要业务是代表客户在联交所进行证券交易。
董事相信，拟议收购将进一步巩固公司在私人银行市场的地位，加快提升其在香港私人银行业务的财富管理服务、产品创新、市场推广能力及竞争优势，并促进其私人银行业务的高质量及可持续发展。
董事相信，拟议出售有助精简公司的企业架构，让本公司进一步聚焦核心业务及提升业务竞争力，并在新的股权架构下释放宝生证券的潜力。
