OSL集团(00863.HK) 公布，有关拟购立陶宛及意大利数字资产平台业务，于今年1月1日，保护立陶宛共和国国家安全重要物件协调委员会推出新规定，要求涉及经营数字资产及区块链平台业务的实体的股份交易须事先获得该机构的许可，因此，预计欧洲购股协议拟进行以收购立陶宛附属公司1(Multi Exchange UAB)之欧洲收购事项将延期完成。
为加快立陶宛附属公司2( MTrinity UAB)、加拿大附属(Multi Exchange Canada)及香港附属(Multi X HK)的业务发展计划，买卖双方于昨日(22日)订立经修订及重述欧洲购股协议，由公司之直接全资附属OSL Lithuania作为新买方，新买方将首先直接向卖方收购立陶宛附属公司2、香港附属公司及加拿大附属公司，并在取得上述机构之许可及其他先决条件获达成或豁免后，收购立陶宛附属公司1。
新买方毋须于首次完成时支付任何代价，并须于第二次完成时悉数支付欧洲收购事项代价。该等公告所概述之欧洲购股协议之主要条款仍然适用。预期首次完成将于今年1月进行。(jl/w)(港股报价延迟最少十五分钟。沽空资料截至 2025-01-22 16:25。)
