智通财经APP讯，元续科技(08637)发布公告，公司获彭菁咪女士(彼为公司间接全资附属公司Singapore Precision Welding Pte. Ltd.(SPW)的董事兼为截至转让日期之前当日持股约 5.44%的公司股东)告知，于2025年1月24日，彭菁咪女士已于场外转让合共364万股(占公司全部已发行股本约2.43%)公司普通股予八名人士，各项转让的名义代价为1.00港元。
在八名人士中，六名为SPW 选定雇员，而另外两名为彭菁咪女士的配偶苏振裕先生的家族成员。选定雇员获得合共264万股股份，而苏振裕先生的家族成员则获得余下的100万股股份，分别占公司全部已发行股本约1.76%及0.67%。
据彭菁咪女士告知，向选定雇员进行该等转让的目的旨在认可及奖励彼等对SPW的长期贡献，并鼓励彼等继续贡献本集团的未来发展及扩张。概无对承让人施加买卖股份的限制或条件。
紧随该等转让完成后，彭菁咪女士于公司的股权将减少至约3.01%，而苏振裕先生于公司的股权将维持不变，约为0.26%。由于彭菁咪女士与苏振裕先生为配偶关系，根据香港法例第571章证券及期货条例，彭菁咪女士被视为于苏振裕先生持有的公司全部已发行股本约0.26%中拥有权益，而苏振裕先生被视为于彭菁咪女士持有的公司全部已发行股本约 3.01%中拥有权益。彭菁咪女士及苏振裕先生合共持有公司全部已发行股本约3.27%。
