财中社1月24日电福石控股（300071）发布公告，近日收到关于与东方证券之间的诉讼进展情况。该案件目前处于终审判决阶段，福石控股作为上诉人，东方证券为原审原告。法院已于2025年1月24日作出判决，驳回了东方证券的上诉请求，维持原判，判决已生效。此次诉讼的主要争议焦点包括东方证券所持股份的限售期约定及解除条件，法院认为这些股份附有限售期约定，并且解除条件尚未满足。

在判决中，法院确认福石控股及其董事并不存在侵权行为。福石控股及时告知东方证券不予办理解除限售手续的理由，因霖漉投资未履行相关业绩承诺，触发了股份的回购条件。法院判决结果显示，福石控股需要为东方证券所持的1981万股股份办理解除限售手续，而霖漉投资未完成的业绩承诺对应的1105万股限售股份仍需维持限售状态。

目前，该诉讼案件尚未对公司损益产生重大影响，公司表示将研究可行方案以维护股东权益，包括可能申请再审。

2024年前三季度，福石控股实现收入10.45亿元，归母净利润-2989万元。
