万咖壹联(01762.HK) 公布，陵水数字文化产业云科技以现金注资4,900万元人民币(约5,292万港元)，认购合营公司海南鲲创科技49%股权。注资所得款项总额将用于进一步发展合营公司的现有业务，即移动广告服务及智能AI营销服务，且不得用于偿还逾期贷款及其他债务。
完成后，合营公司将由公司的合并联属实体欢聚时代及陵水数字文化产业云科技分别拥有51%及49%权益，合营公司将继续被视为集团的附属，其财务业绩将继续综合计入集团的财务报表。
陵水数字文化产业云科技主要从事软件和资讯技术服务业。集团相信，与陵水黎族自治县发展控股集团项下实体成立合营公司将充分发挥双方业务协同及资源整合拓展作用，加快集团服务产品及使用者扩展的发展，进一步实施围绕生态系统参与者的完整生命周期需求构建一体化生态系统的战略，并增强集团为市场参与者提供新的互联网及技术解决方案的能力。(jl/w)(港股报价延迟最少十五分钟。)
