智通财经APP讯，万顺集团控股(01746)发布公告，于2025年1月27日，卖方Prime Pinnacle Limited及担保人与潜在买方Asia Empire Development Limited订立谅解备忘录。谅解备忘录载列有关可能交易的若干初步条款，涉及卖方可能向潜在买方或受潜在买方控制的有关实体出售其持有的销售股份，而倘落实，可能会导致本公司控制权变动，并触发根据收购守则针对全部已发行股份(潜在买方或其一致行动人士已拥有或同意收购的股份除外)的强制性全面要约。于本公告日期，卖方持有7.5亿股股份，相当于本公司已发行股份总数的75%。
据悉，卖方由执行董事兼董事会主席张元通先生及执行董事张元秋先生分别实益拥有51 %及49 %权益。买方为一间于英属处女群岛注册成立的有限公司，由薛瀚先生全资拥有，为有关可能交易的潜在买方，及与本公司及其关连人士并无关连的独立第三方。
本公司已向联交所申请股份于2025年2月3日上午九时正起恢复买卖。
