智通财经APP获悉，达达集团(DADA.US)宣布，该公司收到其大股东、中国电子商务巨头京东提出的一份非约束性收购要约。京东提议，以每份美国存托股份(ADS)2.0美元(或每股普通股0.5美元)的价格购买达达集团尚未持有的ADS。这一收购报价较达达集团ADS上周五的收盘价1.41美元溢价42%。受此消息提振，截至发稿，达达集团周一美股盘前大涨超25%。
据悉，去年9月，京东集团通过其全资子公司从沃尔玛集团全资拥有的公司Global Pinnacle Corporation手中收购了达达集团总计87,481,280股普通股和 1,875,000股美国存托凭证。此次交易完成后，京东集团收购了沃尔玛持有的达达集团全部股份，并实际持有达达集团已发行普通股总数的约63.2%。
达达集团表示，其董事会成立了一个由三名独立且没有利益冲突的董事组成的特别委员会，以评估京东的提案，并补充说该小组计划聘请独立的财务顾问和独立的法律顾问以协助审查。
