　　西部水泥（02233）发布公告，于2025年1月27日，本公司间接全资附属公司 WIH Cement与 HM卖方群， HM AG 及本公司订立 HM 购股协议，据此，WIH Cement 有条件同意收购，而 HM 卖方群有条件同意出售 157.49万股 CILU 股份（占其已发行股本 91.02%），代价为 370.01万美元（相当于约 2886.05万港元），惟须作出惯常交割调整。

　　同日，WIH Cement与本公司、HM AG及Scancem International订立集团内部转让协议，HM AG及Scancem International有条件同意将集团内部还款索偿转让予WIH Cement，代价为1.16亿美元（相当于约9.04亿港元），惟须作出经协定交割调整。

　　公告称，CILU为一间于刚果（金）注册成立及登记的公司，主要业务为营运位于刚果（金）卢卡拉的综合水泥厂，以及生产及分销水泥、水泥熟料及石灰粉。CILU经营的工厂附近拥有大量石灰岩矿藏。于2019年，CILU完成了水泥窑升级，以协助其控制日常维护成本，将厂房保持在良好状态。CILU拥有超过100年的经验及强大的品牌知名度，是刚果（金）水泥市场的顶尖企业之一。
