1 月 31 日，据官方公告，MicroStrategy（MSTR）宣布完成 730 万股 A 系列永久行使权优先股（STRK）发行，每股定价 80 美元，预计净融资 5.634 亿美元。该优先股清算价格为每股 100 美元，年股息率为 8%，股息可现金或 A 类普通股支付，并可按每股初始转换价 1000 美元转换为普通股。
MicroStrategy 表示，此次融资将用于一般企业用途，包括继续增持比特币及补充运营资金。根据条款，若流通优先股总清算价值低于发行总额的 25%，公司可全数赎回；若发生重大税务或法律事件，投资者可要求回购。
此次发行由巴克莱、Moelis & Company 等机构联合承销，预计于 2025 年 2 月 5 日完成交割。截至 2025 年 1 月，MicroStrategy 持有约 19 万枚比特币，此次融资或进一步扩大其比特币持仓规模。
