智通财经APP讯，复星旅游文化(01992)发布公告，诚如3.5公告所述，本公司保留引入潜在股份替代选项(作为另一种方式)以注销所有计划股份(受托人未获分配的计划股份除外)的权利，计划股东(受托人未获分配的计划股份的股份奖励受托人除外)将有权选择以下列方式：现金;及存续证券按将订明的交换比率结算注销价。
潜在股份替代选项由本公司全权酌情决定，且取决于本公司以下先决条件：于3.5公告日期或于3.5公告日期至3.5公告后50个历日(即2025年1月29日)期间接获于3.5公告日期合共持有不少于1%的已发行股份(即1244.27万股计划股份)的计划股东(受托人未获分配的计划股份的股份奖励受托人除外)正式签署并注明日期的意向书，明确表示其有意按照3.5公告规定的方式选择潜在股份替代选项(潜在股份替代选项的先决条件)。
于本公告日期，潜在股份替代选项的先决条件尚未达成。因此，本公司将不会引入潜在股份替代选项。
