智通财经APP获悉，西部水泥(02233)涨超3%，截至发稿，涨3.6%，报1.44港元，成交额745.73万港元。
消息面上，西部水泥发布公告，于2025年1月27日，本公司间接全资附属公司WIH Cement与HM卖方群， HM AG及本公司订立HM购股协议，据此，WIH Cement 有条件同意收购，而HM卖方群有条件同意出售157.49万股 CILU 股份(占其已发行股本 91.02%)，代价为370.01万美元(相当于约2886.05万港元)，惟须作出惯常交割调整。
同日，WIH Cement与本公司、HM AG及Scancem International订立集团内部转让协议，HM AG及Scancem International有条件同意将集团内部还款索偿转让予WIH Cement，代价为1.16亿美元(相当于约9.04亿港元)，惟须作出经协定交割调整。
公告称，CILU为一间于刚果(金)注册成立及登记的公司，主要业务为营运位于刚果(金)卢卡拉的综合水泥厂，以及生产及分销水泥、水泥熟料及石灰粉。CILU经营的工厂附近拥有大量石灰岩矿藏。于2019年，CILU完成了水泥窑升级，以协助其控制日常维护成本，将厂房保持在良好状态。CILU拥有超过100年的经验及强大的品牌知名度，是刚果(金)水泥市场的顶尖企业之一。
