智通财经APP获悉，亚信科技(01675)午前涨超4%，截至发稿，涨4.35%，报6港元，成交额2634.66万港元。
消息面上，近期，亚信安全以13.85亿港币的现金完成了对亚信科技20.316%股份的收购，并通过表决权委托方式额外获得了田溯宁及其关联方持有的9.605%表决权。自此，亚信安全持有约2.8亿股股份的投票权，占已发行股本的29.9%，成为亚信科技的第一大股东。据悉，2024年，亚信科技在新形势下推行了四大战略调整，包括从通信业务向通信+非通信业务转变、从单纯做服务向产品+服务转变、从以纯软件为主向软件+硬件一体转变、从以国内市场为主向国内+国际市场转变。
国信证券发布研报指出，由于亚信科技并表因素，亚信安全2024年实现收入约31.1-42.6亿元；归母净利润约为850万至1275万，实现扭亏；扣非归母净利润-1800万至-1200万。公司原安全业务收入同比增长约14%-19%，收入约18.33-19.14 亿元；单Q4实现营收增速20%+，与行业逆势明显。亚信安全与亚信科技在数字化领域将正常展开协同，同时全年并表也将在25年贡献较高的归母净利润增量。
