智通财经APP讯,汉国置业(00160)及建业实业(00216)联合公布,于2025年2月7日,The Bauhinia Hotels Group Japan 5与卖方及 Green Estate订立买卖合约转让协议,The Bauhinia Hotels Group Japan 5(作为承让人)同意从 Green Estate(作为转让人)接收及承担 Green Estate从卖方收购该物业相关的买卖合约项下的所有权利及责任,代价(含当地消费税)为约12.2亿日圆(相当于约6220万港元)。
The Bauhinia Hotels Group Japan 5乃根据TK安排而成立,由合营公司、Best Range Global及恒景日本分别出资及控制50%、21%及29%。由于合营公司由Best Range Global及恒景日本分别拥有60%及40%权益,因此The Bauhinia Hotels Group Japan 5的实际权益由Best Range Global及恒景日本分别控制51%及49%。Best Range Global为汉国的直接全资附属公司及建业的间接非全资附属公司。
该物业位于大坂的黄金地段,毗邻天王寺站,该站是大坂最重要的交通枢纽之一,连接日本铁路线、大坂地铁线及关西国际机场。
该物业于2024年中旬由 Green Estate介绍,当时出租予日本一家酒店营运商。然而,Best Range Global及恒景日本对该酒店营运商的表现并不满意,故并无进一步进展。另一方面, Green Estate则接收该物业,并随后得以安排终止租约。然后,Best Range Global及恒景日本重新考虑该项目,并决定从 Green Estate接收该物业。因此,该物业将于收购事项完成后交吉。The Bauhinia Hotels Group Japan 5拟对该物业进行翻新,然后将其出租予日本一家独立酒店营运商,而该营运商是现时为合营公司在日本经营四家酒店的战略合作伙伴。预期该物业将为建业集团及汉国集团提供稳定的额外经常性收入来源,长远来看将为其作出正面贡献。
