　　民生国际（00938）发布公告，于2025年2月6日，本公司（作为卖方）与买方China JinNiu Group Limited（作为买方）、承兑票据持有人及担保人订立买卖协议，根据该协议，本公司已有条件同意出售，而买方有条件同意收购销售股份（目标公司誉年投资的全部已发行股本）；及本公司有条件同意转让，而买方有条件同意受让销售贷款。

　　完成后，目标公司将不再为本集团的附属公司，其财务业绩、资产及负债将不再综合并入本集团的综合财务报表。

　　目标公司为一间根据英属处女群岛法律注册成立的投资控股有限公司，为本公司的直接全资附属公司。
