非凡领越(00933.HK) 公布，旗下堡狮龙国际(00592.HK) 于周一(10日)召开法院会议及股东特别大会，通过公司私有化计划，减少维持其上市地位的成本及开支，以集中资源在“bossini.X”的长期发展上。
另外，非凡领越亦于同日举行股东特别大会，通过决议向计划股东及堡狮龙购股权持有人配发及发行股份。堡狮龙股份预期在今年3月17日撤销在联交所的上市地位。
公告指，此次私有化提案由非凡领越及其间接全资附属公司龙跃消费品提出，以协议安排方式将堡狮龙私有化，代价为每注销5股堡狮龙股份将配发及发行1股非凡股份予计划股东。
据上述换股比率，待私有化计划生效后，非凡将向计划股东配发及发行合共约2.46亿股非凡股份，以及向堡狮龙购股权持有人配发及发行合共约17.17万股非凡股份。有关配发及发行的股份仅占非凡领越经扩大已发行股本约2.47%。(js/w)
