中国宏桥附属公司拟出售资产总值9718万元 预计收益约9392万元
中国宏桥（01378）发布公告，董事会宣布于2025年2月14日，公司的间接附属公司北海信和与绿祥资源签订北海资产转让协议，北海信和将出售北海目标资产，绿祥资源将收购该资产。北海目标资产的未审计账面值约为213万元，转让价格为337万元（包括税项）。此外，沾化汇宏与绿智资源也签订了沾化资产转让协议，沾化目标资产的未审计账面值约为2799万元，转让价格为3181万元（包括税项）。同时，魏桥铝电与魏桥再生资源签订宏通股权转让协议，宏通资源的母公司应占未审计权益总额为6182万元，转让价格为6200万元（包括税项）。
公告中提到，出售事项的总代价为9718万元，预计公司将录得约9392万元的出售收益，所得款项将用于公司的一般运营资金。与此同时，公告还说明了与魏桥鑫兴实业签订的工业废物处理协议和工业品采购协议，双方将提供相应的服务与产品，定价将依据市场价格进行调整。至于持续关联交易，预计其最高适用百分比率高于0.1%但低于5%，因此须遵守相关公告及申报规定。
通过本次交易，公司将能够将资源集中于其主营业务，同时魏桥鑫兴实业在固废处理及综合利用方面的能力提升也将为公司提供更好的服务。公司董事会确认此次交易条款公平合理，符合整体利益。
