　　希教国际控股（01765）发布公告，于2025年2月13日（交易时段后），卖方四川希望教育产业集团与买方兰州衡文中学新校区有限责任公司订立股权转让协议，卖方已有条件同意按转让代价人民币10989万元转让目标公司白银明德教育的 100%股权（目标股权）及附属实体（目标主体）；及承接目标主体结欠卖方本金额为人民币2亿元的股东贷款，惟根据股权转让协议的条款及条件可予调整。

　　出售事项将更好地帮助本公司筹集资金，获取金融资源，帮助本公司更好有效地化解债务，为本公司可持续发展创造条件。
