智通财经APP讯，兖矿能源(01171)发布公告，于2025年2月14日，本公司的全资附属公司东华重工与新风光科技及东方机电(东华重工的非全资附属公司)签署增资协议。根据增资协议，新风光科技拟以现金方式出资人民币5592.5687万元认缴东方机电新增注册资本，其中：人民币5000万元计入实收资本，人民币592.5687万元计入资本公积。于本次增资完成后，新风光科技持有东方机电50%的股权，东华重工持有东方机电47.168%的股权。东方机电将不再为本公司的附属公司，其财务报表将不再于本集团财务报表内综合入账。
本次增资完成后，本公司于东方机电所持有的权益将由94.336%减少至47.168%，东方机电将不再为本公司的附属公司，其财务报表将不再于本集团财务报表内综合入账。本公司预期不会就本次增资录得盈亏，本次增资对本集团资产及负债无重大影响。本次增资的确切财务影响尚有待本公司核数师审查。
