智通财经APP讯，朝威控股(08059)发布公告，由于本公司与汇益国际会计师事务所有限公司(汇益)就截至2024年12月31日止财政年度本集团综合财务报表的审计费用未能达成共识，汇益已自2025年2月14日起辞任本公司核数师职务。
本公司董事会谨此知会股东及潜在投资者，由于需额外时间物色及委聘新核数师，且预期新核数师需要合理工作时间完成审计程序，本公司或无法于2025年3月31日或之前刊发2024年年度业绩。可能延迟刊发2024年年度业绩将构成不遵守GEM上市规则第18.49条。本公司将与新核数师紧密合作尽快完成审核程序，并将适时另行刊发公告以告知股东：董事会会议审议及批准2024年年度业绩的日期;刊发2024年年度业绩的日期;及/或任何重大进展。
根据GEM上市规则第17.49A条，若发行人未按GEM上市规则刊发财务资料，联交所通常会要求暂停该发行人证券买卖。该暂停一般持续至发行人刊发载有所需财务资料的公告为止。倘本公司未能于2025年3月31日或之前刊发2024年年度业绩，本公司股份于联交所的买卖将自2025年4月1日上午九时正起暂停，直至刊发2024年年度业绩为止。
