　　理士国际（00842）发布公告，本公司已向联交所提交一份建议，内容有关根据上市规则第15 项应用指引进行建议分拆及将分拆公司Leoch Energy Inc．在美国证券交易所单独上市，而本公司已获联交所批准可进行建议分拆。

　　截至本公告日期，分拆公司为本公司的直接全资附属公司。建议分拆将通过建议分派方式向本公司股东实物分派本公司持有的全部分拆公司股份进行。在建议分拆及建议分派完成后，分拆公司将从本公司剥离，产生本公司与分拆公司平行上市的结构，本公司股东将享有分拆公司的股份。

　　分拆公司为一家根据开曼群岛法律注册成立的豁免公司，截至本公告日期为本公司的直接全资附属公司。分拆公司集团的主要业务为于欧洲、中东和非洲、美洲及亚太地区（不包括中国内地、香港及澳门）销售备用电池、起动电池及动力电池等产品。
