格隆汇2月13日丨希教国际控股(01765.HK)公告，于2025年2月13日，卖方四川希望教育产业集团有限公司与买方兰州衡文中学新校区有限责任公司订立股权转让协议，据此，卖方已有条件同意(i)按转让代价人民币1.1亿元转让目标公司白银明德教育有限责任公司的100%股权及附属实体("目标主体")；及(ii)承接目标主体结欠卖方本金额为人民币2亿元的股东贷款，惟根据股权转让协议的条款及条件可予调整。
目标公司(白银明德教育有限责任公司)为卖方的全资附属公司，主要从事教育管理。出售事项将更好地帮助公司筹集资金，获取金融资源，帮助公司更好有效地化解债务，为公司可持续发展创造条件。
