希教国际控股拟以1.1亿元转让白银明德教育100%股权
财中社2月14日电希教国际控股（01765）发布公告，董事会宣布于2025年2月13日（交易时段后），卖方四川希望教育产业集团有限公司与买方兰州衡文中学新校区有限责任公司签订股权转让协议。根据协议，卖方同意以1.1亿元转让目标公司白银明德教育有限责任公司的100%股权，并承接目标公司对卖方的股东贷款本金2亿元，具体金额可能根据协议条款调整。
此次出售事项由于其最高适用百分比率超过5%但低于25%，构成须予披露交易，需遵循上市规则的相关规定。目标公司截至2024年12月31日的未经审核综合资产净值为1755万元。完成交易后，预计本公司将录得未经过审计的收益约为9092万元。出售所得款项将用于改善现有院校的办学条件。
