智通财经APP获悉，近日，香港联交所对鑫苑物业服务集团有限公司(01895)两名前董事展开纪律行动，向以下人士作出董事不适合性声明及谴责：前执行董事兼行政总裁王研博女士及前执行董事兼首席财务官黄波先生。联交所裁定王女士及黄先生未回复联交所的调查相关通讯，即未在调查中给予合作，因此违反《上市规则》。王女士及黄先生牵涉于联交所就该公司进行两项不同的调查当中。
董事不适合性声明是指联交所认为，王研博女士及黄波先生不适合担任该公司或其任何附属公司的董事或高级管理阶层成员。2022 年，联交所在完成一项调查后对王女士及黄先生作出损害投资者权益声明及公开谴责，指其就该公司订立的若干须予公布及关联交易违反其在《上市规则》下的董事职责和责任。王女士及黄先生在该调查中向联交所给予合作。在上述纪律制裁实施前后，该公司发现其附属公司的若干定期存款被质押，并就此展开了调查。2023 年，联交所就王女士及黄先生是否就相关质押履行其在《上市规则》下的董事职责和责任展开另一项调查。然而，王女士及黄先生并未在该调查中给予合作。
