　　CLSA PREMIUM及要约人北京同仁堂（开曼）有限公司联合公布，于2025年2月18日，要约人完成向中信证券国际有限公司收购约8.13亿股股份，占公司于本联合公告日期已发行股本总额的40%，总代价为9799.4万港元（相当于每股销售股份约0.1205港元）。

　　紧随完成后及于本联合公告日期，要约人及其一致行动人士（包括卖方）于约12亿股股份（占公司已发行股本总额约59.03%）中拥有权益。根据收购守则规则26.1，紧随完成后，要约人须就所有已发行股份（要约人及其一致行动人士（包括卖方）已拥有或同意将予收购的股份除外）提出无条件强制性现金要约，每股要约股份0.1229港元，较于最后交易日在联交所所报每股股份的收市价0.185港元折让约33.57%。
