智通财经APP讯，CLSA PREMIUM(06877)及要约人北京同仁堂(开曼)有限公司联合公布，于2025年2月18日，要约人完成向中信证券国际有限公司收购约8.13亿股股份，占公司于本联合公告日期已发行股本总额的40%，总代价为9799.4万港元(相当于每股销售股份约0.1205港元)。
紧随完成后及于本联合公告日期，要约人及其一致行动人士(包括卖方)于约12亿股股份(占公司已发行股本总额约59.03%)中拥有权益。根据收购守则规则26.1，紧随完成后，要约人须就所有已发行股份(要约人及其一致行动人士(包括卖方)已拥有或同意将予收购的股份除外)提出无条件强制性现金要约，每股要约股份0.1229港元，较于最后交易日在联交所所报每股股份的收市价0.185港元折让约33.57%。
据悉，要约人为一家于开曼群岛成立的有限责任公司，为一家结合互联网的健康生态创新型企业，通过互联网+模式，整合全球健康及医药资源，结合移动互联技术、健康云计算、人工智能技术等，为全球消费者提供高品质专业化的健康产品与健康服务。要约人集团业务包括中医互联网医院平台及跨境电商平台。
