宏利(00945.HK) 公布，计划启动“常规发行人要约”，通过该要约，宏利获准回购注销不超过5,150万股宏利普通股，约占宏利已发行流通普通股的3%。截至今年2月12日，宏利已发行流通普通股股数为逾17.23亿股。加拿大金融机构监理处及多伦多证券交易所已批准此次要约。
根据“常规发行人要约”，在符合多伦多证券交易所大额交易守则的条件下，宏利可于任何交易日在该交易所回购不超过142.01万股宏利普通股，这相当于该交易所截至今年1月31日在过去六个月内平均单日交易量568.04万股普通股的25%。通过“常规发行人要约”进行的回购，自2月24日起可在多伦多证券交易所展开，直至2026年2月23日要约到期日，或宏利完成回购之日。
此外，宏利可依据适用法律对加拿大及美国以外的宏利普通股进行回购。在获得监管机构批准的前提下，宏利亦可依据适用的证券监管机构所发出的发行人要约豁免令，以私人协议的方式直接从其他持有人购入普通股。(sl/w)(港股报价延迟最少十五分钟。)
