智通财经APP讯，汽车之家-S(02518)发布公告，公司获其大股东中国平安旗下Yun Chen Capital Cayman(“云辰资本”)告知，于2025年2月20日，云辰资本与海尔集团公司子公司CARTECH HOLDING COMPANY(“买方”)订立股份买卖协议。根据股份买卖协议，云辰资本已同意出售而买方已同意收购约2.01亿股公司普通股，约占公司已发行普通股的41.91%，对价约18亿美元(“股份转让”)。
股份转让须待股份买卖协议所载先决条件达成后，方告完成，包括但不限于获得必要监管批准。于股份转让完成后，云辰资本将持有2391.65万股公司普通股，云辰资本将不再为公司的大股东。
公司董事预期，股份转让(倘完成)将不会对公司的财务状况及业务运营造成任何重大不利影响。
