智通财经APP讯，复星医药(02196)发布公告，2025年2月20日，公司控股子公司复星健康与上海卓尔荟及其另外三方股东(即星双健投资、复星健控和卓也健康，下同)签订《增资协议》，复星健康拟出资人民币3000万元认缴上海卓尔荟等值新增注册资本，其他股东均放弃优先认购权。
本次增资完成后，上海卓尔荟的注册资本将由人民币10200万元增至13200万元，其中：复星健康持有上海卓尔荟的股权比例将由57.5363%增至67.1872%。本次增资前后，上海卓尔荟均为集团合并报表子公司。
公告称，本次增资款项将主要用于上海卓尔荟的日常运营以及学科、品牌及营销体系建设等。
