　　新疆新鑫矿业（03833）发布公告，于2025年2月14日，新疆有色、本公司及目标公司订立股权转让协议，按照股权转让协议的条款及条件，新疆有色有条件同意转让，而本公司有条件同意收购目标权益（即目标公司新疆华瓯矿业51%股权），代价约为人民币10.98亿元。

　　于完成事项后，目标公司将成为本公司的非全资附属公司，其财务资料将合并纳入本公司的财务报表。

　　目标公司主要从事能源投资、矿业投资、矿产资源勘探及投资，以及矿产品销售。
