新疆新鑫矿业(03833.HK) 公布，以代价约10.98亿元人民币，向新疆有色收购目标公司新疆华瓯矿业51%股权。至于目标公司另外49%股权由上海兴羌持有。
目标公司主要从事能源投资、矿业投资、矿产资源勘探及投资，以及矿产品销售，其卡尔恰尔萤石矿位于新疆东南部巴音郭楞蒙古自治州若羌县东南方向约73公里，位于青海省茫崖市花土沟镇西侧约196公里，主要商品为萤石，是一种具有多种应用的重要工业矿物。卡尔恰尔萤石矿正计划生产酸级萤石精矿，主要针对中国的氢氟酸和氟化铝市场。
公司认为，收购事项有望提高其优质矿产资源储备，扩大资产规模，实现多矿种开发，平抑市场波动风险，增强抗市场风险能力。另预计目标公司将为公司提供新的利润增长动力，改善公司营收结构和营收水平，促进持续健康发展。(jl/w)(港股报价延迟最少十五分钟。)
