金吾财讯 | 新疆新鑫矿业(03833)发布公告，2025年2月14日，新疆有色、公司及目标公司订立股权转让协议，据此，按照股权转让协议的条款及条件，新疆有色有条件同意转让，而公司有条件同意收购目标权益(即目标公司51%股权)，代价约为人民币10.98亿元。目标公司(即新疆华瓯矿业有限公司)为一间于2002年12月7日在中国注册成立的有限责任公司。于本公告日期，其注册股本为人民币1.13亿元(已实缴到位)，主要从事能源投资、矿业投资、矿产资源勘探及投资，以及矿产品销售。于本公告日期，新疆有色持有目标公司51%股权，上海兴羌持有目标公司49%股权。完成事项后，公司将持有目标公司51%股权，上海兴羌将持有目标公司49%股权。
