香港高等法院再度对中国恒大集团旗下关键子公司出手。
据彭博社报道，2月17日，香港高等法院裁定，恒大集团旗下天基控股有限公司（下称“天基控股”）因“明显资不抵债”，被正式下令清盘。这是继恒大另一家离岸子公司CEG Holdings BVI Ltd.被清盘后，恒大系企业遭遇的又一重大法律打击。
天基控股作为恒大境外债务重组的关键实体，在英属维尔京群岛、香港及中国内地注册有逾200家附属公司，并担任恒大部分美元债的担保人。据其法人代表披露，天基控股相关债务总额高达370亿元人民币（约合51亿美元）。
此次裁决标志着恒大集团清算进程的进一步深化。2024年1月，恒大集团本身被香港法院颁令清盘。此后，由安迈企业咨询（Alvarez & Marsal）的Edward Middleton和黄咏诗担任的清算人，持续尝试穿透恒大复杂的离岸架构，并协调处理其位于中国内地的大量资产。
值得关注的是，香港法院此次加快了天基控股清盘案的审理节奏，将原定听证会日期提前，缩短了程序拖延的空间。清盘人此前向法院提交的呈请指出，天基控股已无力偿还债务且缺乏可行的重组方案。
分析人士指出，恒大清盘案的核心难点在于其庞杂的离岸架构与内地资产的管辖权冲突。尽管香港法院的清盘令理论上对内地资产具备跨境效力，但执行层面仍面临法律衔接障碍。目前，恒大绝大部分土地储备和项目位于内地，清算人能否实际接管存在不确定性。
截至发稿，中国恒大及天基控股未对最新清盘令作出公开回应。
