智通财经APP获悉，长城汽车(02333)早盘涨超3%，截至发稿，涨3.28%，报12.6港元，成交额1.04亿港元。
消息面上，2月21日长城汽车发布公告，为增强产业协同性及整体竞争力，公司的间接全资子公司诺博汽车科技有限公司(以下简称“诺博科技”)与稳晟科技(天津)有限公司(以下简称“稳晟科技”)签订股权转让协议，诺博科技拟使用自有资金人民币3,792,157.77元收购稳晟科技持有的无锡芯动半导体科技有限公司(以下简称“无锡芯动”)80%的股权，上述股权收购事项完成后，诺博科技将持有无锡芯动80%股权，公司持有无锡芯动20%股权，无锡芯动纳入公司合并报表范围。
公告称，本次交易系基于公司业务发展和经营规划需要，此次收购有利于公司产业垂直整合并提高生产、经营效率，有助于公司形成更加完整的产业链，增强产业协同性及公司整体竞争力，减少关联交易，进一步实现降本增效，推动企业更高质量发展，为公司及股东创造更大价值。本次股权收购完成后，公司将直接或间接持有无锡芯动100%股权，符合公司的长远发展及全体股东的利益，不会对公司本期以及未来财务状况和经营成果产生不利影响。
