智通财经APP获悉，Equinox Gold(EQX.US)表示，将根据法院批准的一项安排计划，收购Calibre Mining所有已发行和流通在外的普通股。
在交易生效前，每持有一股Calibre股份，Calibre股东将获得0.31股Equinox普通股。交易完成后，Equinox现有股东和Calibre前股东分别持有合并后公司约65%和35%的股份。
合并后公司的隐含市值估计为77亿加元。
该交易预计将缔造一家以美国为重点的多元化黄金生产商，在5个国家拥有运营中的矿山，并以加拿大的两座高质量、寿命长、成本低的金矿为支柱。
两家公司表示，拥有Greenstone和Valentine 100%的所有权后，New Equinox Gold将成为加拿大第二大黄金生产商。
合并后的公司预计到2025年将生产约95万盎司黄金，不包括瓦伦丁（Valentine）或洛斯菲洛斯（Los Filos）的产量。
Equinox总裁兼首席执行官 Greg Smith 表示：“此次合并代表了Equinox和Calibre向前迈出的变革性一步，将两家具有强大生产、增长潜力、运营专业知识和对负责任采矿的共同承诺的互补公司结合在一起。”
