赣锋锂业以2亿元收购深圳易储控股权
2月21日，赣锋锂业（002460/01772）发布公告，宣布公司以2亿元的价格收购控股子公司深圳易储能源科技有限公司的全部股权。
此次交易由公司控股子公司赣锋锂电进行股权转让，赣锋锂电目前持有深圳易储90%的股权，经过增资扩股后，公司实际将获得深圳易储71.352%的股权。
公告中提到，赣锋锂电的资产总额截至2024年9月30日为166.62亿元，负债总额为93.96亿元，净资产为72.67亿元。赣锋锂电在2024年1-9月的营业收入为26.09亿元，利润总额为-5294万元。深圳易储在2024年9月30日的资产总额为2.5亿元，负债总额为1.52亿元，净资产为9791万元，营业收入为0，利润总额为-210万元。
本次交易被认定为关联交易，因公司部分董事及高级管理人员参与了赣锋锂电的增资扩股事项。独立董事认为，此次收购有助于公司提升对核心业务的控制能力，符合公司上下游一体化发展战略，并且不会对公司及全体股东的利益产生损害。
2024年前三季度，赣锋锂业实现收入139.25亿元，归母净利润-6.4亿元。
