智通财经APP讯，中国铝业(02600)发布公告，于2025年2月28日，经本公司第八届董事会第三十一次会议审议通过，中铝宁夏能源集团有限公司(宁夏能源)拟与中铜西藏矿业有限公司(中铜西藏)及西藏开发投资集团有限公司(西藏开投)共同出资设立中铜(西藏)新能源有限公司(合资公司)(暂定名，以工商登记机构最终核准的名称为准)。其中，宁夏能源、中铜西藏及西藏开投分别以现金出资人民币11.39亿元及人民币26.74亿元及人民币9.53亿元。合资公司成立后，宁夏能源、中铜西藏与西藏开投将分别持有合资公司23.90%、56.10%及20.00%的股权，合资公司不会成为本公司的附属公司，其财务业绩将不会合并到本公司账目中。
截至本公告日期，有关各方尚未就上述设立合资公司事宜签订任何具体协议。待签订具体协议时，本公司将遵守香港上市规则的适用规定及时履行信息披露义务。
