智通财经APP讯，中国铝业(02600)发布公告，2025年2月28日，包头铝业与内蒙古华云订立吸收合并协议，包头铝业将吸收合并内蒙古华云。本次吸收合并完成后，包头铝业将继续存续，内蒙古华云将被依法注销，本公司将持有包头铝业65.5759%股权，中铝集团将持有包头铝业34.4241%股权(最终持股比例根据经备案评估值确定)。
本次吸收合并可有效解决包头铝业与内蒙古华云之间电解铝产能与电力能源产能结构不均衡的问题，消除企业转供电政策障碍，合规释放产能价值，同时减少企业内部交易，压缩内部管理层级，降低管理成本，提升管理效率，有利于进一步提高企业盈利能力和综合竞争力。
