重庆机电附属公司收购标的公司100%股权 交易额3562万元
2月27日，重庆机电（02722）发布公告，2025年2月27日，公司的全资附属公司机床集团与控股股东的全资附属公司资产公司签订了股权转让协议。
根据协议，机床集团同意以3562万元的代价收购资产公司持有的标的公司100%股权。此次交易构成上市规则第14A章下的关联交易，因适用百分比率超过0.1%但低于5%，因此仅需遵守年度审阅、申报及公告的规定。
截至2023年12月31日，标的公司的总资产为6427万元，净资产为3248万元，资产负债率为49%。标的公司在2023年的营业总收入为5943万元，净利润为19万元。此次收购预计不会对公司的财务业绩产生损益影响，收购完成后，标的公司将成为公司的间接全资附属公司，其财务业绩将并入公司的财务报表。
