智通财经APP讯，天时资源(08028)发布公告，公司建议以认购价每股供股股份0.178港元按于记录日期每持有两股现有股份获发一股供股股份的基准透过发行1.69亿股供股股份，以筹集所得款项总额最多约3000万港元。供股仅供合资格股东参与且将不会延伸至不合资格股东。
供股所得款项净额在扣除开支后估计约为2910万港元。
于本公告日期，公司根据2013年购股权计划已授出的尚未行使购股权为570万份，于获行使时可转换为570万股股份，而公司并无根据2023年购股权计划授出任何购股权。
根据购股权计划的条款，供股可能导致(其中包括)行使价及/或根据购股权计划行使尚未行使的购股权时将予发行之股份数目有所调整，但作出任何有关变动得基准为承授人于悉数行使任何购股权时应付的总认购价应尽可能维持(但不高于)与该事件发生前相同;及任何该等调整不得导致任何承授人倘于紧接该等调整前行使其持有的所有购股权而有权认购公司的已发行股本的比例增加。
