智通财经APP获悉，美国零售商克罗格(KR.US)宣布，该公司董事长兼首席执行官Rodney McMullen已从公司辞职，此前董事会因他的行为与公司的商业道德政策不符而对其进行了调查。
克罗格透露，该公司董事会在2月21日得知了Rodney McMullen的某些个人行为，并立即聘请了外部独立律师进行调查，该调查由一个特别董事委员会监督。该公司强调，Rodney McMullen的个人行为与公司的财务业绩、运营或报告无关，也不涉及该公司的任何关联公司。
克罗格表示，该公司董事会已任命首席董事Ronald Sargent担任董事会主席兼临时首席执行官，立即生效。董事会还宣布，Mark Sutton将担任克罗格首席独立董事，也将立即生效。此外，董事会已经成立了一个搜索委员会，并聘请了一家全国知名的公司来寻找克罗格的下一任首席执行官。Ronald Sargent已同意在任命下一任首席执行官到任之前担任这一职务。
克罗格将于美东时间3月6日公布2024年第四季度财报。该公司在去年12月公布的第三季度财报中预计，2024年全年同店销售额(不含燃料)将增长1.20%-1.50%;预计调整后的每股收益为4.35-4.45美元。值得注意的是，该公司提供的最新指引显示，预计这两项指标都将处于指引区间的高端。
