智通财经APP讯，金融壹账通(06638)公布，董事会注意到于2025年2月28日，公司股份出现异常成交量及股价波动，并谨此知会其股东于2025年3月1日，公司接获铂煜(连同其联属实体统称“建议买方”)一份内容有关以协议安排方式建议私有化该公司的初步无约束力建议，如进行建议，将导致公司自联交所及纽约证券交易所退市(指示性建议)。指示性建议的副本以附件A形式随附本联合公告，附件A亦将作为公司提交给美国证券交易委员会的表格6-K的附件。
于本联合公告日期根据公司可得资料，铂煜直接持有353,077,356股股份(占公司全部已发行股本约30.18%)，为公司的控股股东及中国平安保险(集团)股份有限公司(平安集团)的附属公司。于本联合公告日期根据公司可得资料，平安集团(通过其附属公司(包括铂煜))持有375,764,724股股份(占公司已发行股本约32.12%)。
诚如指示性建议载列，铂煜建议以现金每股2.068港元(相当于每股公司美国存托股约7.98 美元)进行收购。注销价较股份于2025年2月27日(即2025年2月28日(股份出现异常成交量及股价波动当日)前最后交易日)在联交所所报收市价1.200港元溢价 72.33%。
此外，公司已向联交所申请，自2025年3月4日(星期二)上午九时起恢复股份在联交所买卖。
