联商快讯：2月28日消息，正在提议收购日本Seven&i控股(7-11便利店母公司)的加拿大零售巨头Alimentation Couche-Tard(ACT)将在日本设立办事处。ACT已在日本完成了法人实体注册，为正式提出收购提案做准备，并正与日本金融机构进行协商和信息收集。同时，ACT明确表示，若收购成功，没有关闭日本7-11门店的计划。

自2024年夏季ACT向Seven&i控股提出无法律约束力的收购提案以来，ACT代表一直定期访问日本。公司创始人阿兰·布沙尔(Alain Bouchard)董事长和亚历克斯·米勒(Alex Miller)总裁兼CEO曾多次考察东京和地方的7-11门店。

在得知Seven&i创始家族的私有化方案陷入困境后，ACT发表声明称：“将建设性地合作，以期与Seven&i达成友好协议。”目前，Seven&i特别委员会正在评估两种选择：接受ACT的收购提案或继续独立发展。

关于美国反垄断法的挑战，ACT表示：“我们确信有办法获得当地监管机构的批准。”ACT自2004年以来已成功完成75起企业收购，每次都遵循美国和其他相关当局的程序。

ACT希望加速与Seven&i的谈判，以提出具有法律约束力的正式提案，同时也会考虑日本国内的舆论。通过设立办事处等措施，ACT计划向日本相关方传达其在北美便利店运营的经验以及非敌意收购的立场。
